Service Agreement — The Contract That Does Not Exist
Readers of this article have at least once heard of, used, or signed a document proudly titled "Service Agreement". Without any preamble, I will tell you the main point: the so-called "Service Agreement" as an independent legal institution simply does not exist. One might ask — how come it doesn't exist? In response, I will tell you: in reality, you signed either a Contract for Work (Contractorship) or a Contract of Mandate. Since the concept of a "Service Agreement" cannot be found in the Civil Code, in the event of a dispute, the court is forced to interpret it based on the norms of the contract closest to it (Article 52 of the Civil Code — Interpretation of the Declaration of Intent);
What does "Service Agreement" mean? A service is a value sold by "A" and bought by "B". This can be the production of an item as well as the performance of a specific action. In a broad sense, everything can be called a "service," including employment. When an employer buys your time and intellect, this is also selling a service, but it is regulated by the Labor Code and, consequently, is considered an employment contract. Briefly put: a service can be anything that can be sold;
Then why do they call the contract a "Service Agreement"? There could be a million answers, but the most common reason is trivial: a person needs a contract, "googles" it, downloads a ready-made template with "Service Agreement" written on it, and uses it. But when push comes to shove, everyone suddenly remembers that the content of the contract is what matters, not its title. It is precisely from the subject matter of the contract (and not its title) that its legal interpretation subsequently derives;
Why do employers use this term most often? The answer is simple: to avoid granting annual leave, paying for overtime, and providing other social guarantees. By calling it a "Service Agreement," the employer tries to prevent the employee from exercising the rights granted by the Labor Code;
If you work at a specific location, show up at a fixed time, perform an identical task, are subject to internal regulations, and the employer masks this with a "Service Agreement" — hello! Your employer is simply taking away your rights. What exists between you is not a "service," but a classic labor-legal relationship;
In Business: Every day, hundreds of contracts are concluded with the title "Service Agreement." The parties sign them, stamp them, and think they are legally protected. An illusion is created that the mere existence of the paper is what matters. But when the contract is not fulfilled, we crash into the "bitter reality" in court. The judge does not look at the title; instead, they start searching: what is this in reality? A Contract for Work (where the result is key)? A Mandate (where the action is key)? Or worst of all — a disguised employment contract through which the company avoids taxes and employee rights?;
Generally, the most destructive thing for a lawyer is to look at their work philosophically. If we judge philosophically, we might consider that the root of everything is ignorance. But ignorance that repeats itself systematically is no longer ignorance — it is an intentional sabotage of work. Let's take one similar instance (the word "case" would suit the article, but let's respect the Georgian language): "A" is a company that manufactures metal-plastic doors and windows. "B" goes to them to order their production and installation at home. At this time, they draw up a contract (Googled, of course) proudly titled "Service Agreement", while in reality, it is a classic Contract for Work. We can include in this same category ordering the production of any item, audit, or accounting services (though here investigation is needed whether it's a mandate or a contract for work), etc;
For a non-lawyer, it might not matter much whether we call it a "Service Agreement" or a Contract for Work, but we need a lawyer when the contract is not fulfilled. This is exactly where taking down the dusty Civil Code begins, where Article 629 looks at us without hypocrisy, stating: "Under a contract for work, the contractor undertakes to perform the work envisaged by the contract, and the client is obliged to pay the agreed remuneration to the contractor";
In the event of a dispute, Articles 629 to 656 apply. This is critically important because any prospect of a dispute derives precisely from these articles, and the court cannot go beyond this provision. Let's bring up another instance: "A" undertook the obligation to perform work for 5,000 GEL, but only performed 3,000 GEL worth. At this point, the client cannot demand the return of the entire amount (except by withdrawing from the contract, which means that what has been done must be returned to the performer and become their property materially again). Consequently, they can only demand compensation for the remaining 2,000 GEL;
This given reality is determined not by business views or the title, but by the law!
