Pledging an Apartment: A Myth That Must Be Dispelled!

The pledging of an apartment is impossible under current Georgian legislation. Any form of legal encumbrance on real estate is regulated by the Civil Code of Georgia and its Property Law, and Property Law does not recognize the pledging (pawning) of real estate.
We have all encountered advertisements on social networks stating that someone is "pledging an apartment/property" or "wishes to take an apartment or real estate in pledge." This is not only impossible, it is legally void. In most cases, these terms imply the following legal actions:
Encumbering the apartment/real estate with a mortgage in exchange for receiving a loan. Concluding an agreement of sale of the apartment/property with the right of repurchase. Concluding an installment sale agreement;

Each of these legal actions has its advantages and disadvantages. It is also possible that a conditional transaction is involved, though this is rare and will not be discussed further here;

1. Encumbering the apartment/real estate with a mortgage in exchange for a loan.
1.a. First, it should be noted that following the amendments of August 7, 2018, the conclusion of loan and mortgage agreements between natural persons was prohibited (Article 286.4: An apartment/immovable property owned by the borrower or another natural person... may not be used as a means to secure a claim arising from a loan/credit agreement issued/to be issued to a natural person). An exception was established, allowing a mortgage agreement only if "the immovable property encumbered by the mortgage is transferred to the possession of the mortgagee (a natural person) for the purpose of using it as a residential dwelling." The right to issue a loan secured by a mortgage was granted to a natural person only if they are registered in a special registry created by the National Bank.
This restriction, established by the state to protect natural persons, inadvertently caused counterproductive results. Because mortgage agreements between natural persons were banned, they were replaced by contracts of sale of an apartment/real estate with the right of repurchase, which entails significantly greater legal detriment than a standard loan and mortgage agreement;

2. Concluding an agreement of sale of the apartment/real estate with the right of repurchase.
2.a. Articles 509 through 515 of the Civil Code govern sales with the right of repurchase. Simply put, upon the execution of a sale with the right of repurchase, the seller immediately loses the right of ownership, retaining only the right of repurchase. In the National Agency of Public Registry, the buyer is immediately registered as the owner, while the seller holds merely the right of repurchase.
Herein lies the critical issue: instead of safeguarding property rights by prohibiting mortgage agreements, the state inadvertently facilitated a simpler mechanism for individuals to lose their property rights. Unlike a mortgage agreement—where the mortgagee first had to obtain a writ of execution from a notary or court (which involved lengthy litigation across a minimum of three instances, taking approximately four years), submit it to the National Bureau of Enforcement, await the commencement of enforcement proceedings, property valuation, and an eventual auction before the property's fate was decided (practice showed the owner had at least one additional year before losing ownership)—a sale with the right of repurchase is not a property encumbrance agreement. Due to regulatory constraints, parties simplified their transactions; however, the owner, perhaps unknowingly, loses their right of ownership in a single day by signing it;

3. Installment sale agreement.
3.a. This agreement is not frequently encountered in practice concerning apartments/real estate, but its primary characteristic is as follows: the real estate is transferred to the buyer prior to the full payment of the item, while the buyer pays the seller the purchase amount in monthly installments. Real estate companies typically avoid such transactions. For instance, if the seller reserves the right to terminate the agreement upon the buyer's breach of the payment schedule, or if a construction company cancels the agreement, they must refund the already received installments to the buyer, while the buyer returns the property.
In my legal practice, I encountered a case where a company offered my client a "Pledge Agreement" for real estate. Initially, I found it implausible that any entity would propose such a legal discrepancy. However, upon reviewing the document provided by the company, the agreement was indeed titled "Real Estate Pledge Agreement," while its substantive content constituted a loan issuance and property lease agreement. Returning to the primary question, "Why does the myth of pledging an apartment/real estate exist?"—it is likely a post-communist colloquial echo within our society. As a matter of legal counsel, if any individual, company, or broker offers you to "pledge an apartment" or to "take your real estate in pledge":

4. The Lawyer's advice is as follows:
4.a. Ask the broker or company to detail exactly what legal contract is being proposed;
4.b. Demand to review the contract prior to execution, and ensure you read it thoroughly;
4.c. Have a qualified lawyer review the contract before signing (if the opportunity permits);
4.d. If the agreement is executed before a notary, explicitly request the notary to explain the nature of the contract and its ensuing legal consequences;
4.e. If the contract stipulates a "sale with the right of repurchase," under no circumstances sign it as the owner, as this results in the immediate forfeiture of your ownership rights;
4.f. If a broker advises you to lend funds and sign a sale with the right of repurchase as the lender, do not sign it, as you risk losing the ownership right acquired through court proceedings and failing to recover your funds;
4.g. Do not trust any company, broker, or lawyer who considers it legally viable or offers to "pledge an apartment/real estate." The concept of "pledging an apartment/real estate" is a legal impossibility. As a non-lawyer, you may fail to distinguish between different types of contracts and inadvertently sign an agreement that results in the loss of both your finances and your property.
